Membership Terms & Conditions
1.
Pricing -
All fiber sold to AAFF by its members will be weighed at the time of
purchase with the member confirming both weight and purchase price amounts.
Checks for payment will be processed only off of AAFF's purchase ticket.
AAFF purchases fiber. It does not trade out products.
2.
Hold Harmless -
You agree to hold harmless AAFF, its managers, members and affiliates from
and against any claims, damages, failure to perform, breach of contract,
and/or any other potential liability, brought by You or through You as a
result of your membership, regarding the benefits and services offered by
AAFF.
3.
Guidelines -
AAFF explicitly reserves the right and sole discretion to: (i) modify its
pricing, if desired by AAFF; (ii) review Your use of the Membership Benefits
for fraudulent or inappropriate use, if applicable, and to terminate Your
use of the Membership Benefits or apply additional fees if You violate these
terms of service; (iii) establish limits and guidelines concerning the use
of the Membership Benefits; (iv) terminate Your use of the Membership
Benefits for non-payment of fees for the Membership, activities prohibited
by the laws of the United States and/or foreign territories in which You
conduct business, activities designed to encourage unlawful behavior by
others, activities designed to impersonate the identity of a third party,
activities whether lawful or unlawful that AAFF determines, in its sole
discretion, to be harmful to its other members, operations, or reputation;
and (v) terminate Your use of the Membership if Your use of the Membership
Benefits results in, or is the subject of, legal action or threatened or
proposed legal action, against AAFF or any of its affiliates or partners,
without consideration for whether such legal action or threatened or
proposed legal action is eventually determined to be with or without merit.
4.
Arbitration -
Any dispute regarding the construction, interpretation, performance,
validity, or enforceability of any provision of this Agreement, or whether
any Person is in compliance with, or breach of, any provisions of this
agreement, shall be submitted to binding Arbitration in Boerne, Kendall
County, Texas. The Rules of the Commercial Division of the American
Arbitration Association (the “AAA”) shall apply, except as agreed to
herein. Any arbitration conducted under this section shall be heard by a
sole arbitrator (the "Arbitrator”). The Disputing Party that submits a
Dispute to arbitration shall designate a proposed Arbitrator in its
Arbitration Notice. If any other Disputing Party objects to such proposed
Arbitrator the AAA shall designate the Arbitrator. The written decision of
the Arbitrator shall be final, nonappealable, and binding upon the Disputing
Parties and may be enforced in any court of competent jurisdiction. Each
Disputing Party shall be responsible for the fees and expenses of its
respective counsel, unless the Arbitrator determines that compelling reasons
exist for allocating all or a portion of such costs and expenses to one or
more of the Disputing Parties.
